STANDARD TERMS AND CONDITIONS OF SALE

1. Definitions

"Seller" refers to Westcomhub Enterprise Limited.

"Buyer" refers to the customer purchasing goods or services from the Seller.

2. Acceptance of Orders

All orders are subject to acceptance by Westcomhub Enterprise Limited. An order is deemed accepted once a quotation has been approved, a Local Purchase Order (LPO) or Purchase Order (PO) has been received, or payment has been confirmed.

3. Pricing

  • All prices are quoted in Kenyan Shillings (KES) unless otherwise stated.
  • Prices are subject to change without prior notice until an order has been confirmed.
  • Applicable taxes, including VAT, shall be charged in accordance with Kenyan tax laws.

4. Payment Terms

  • Unless otherwise agreed in writing, payment is due before delivery.
  • Approved corporate and government customers may receive credit facilities subject to agreed payment terms.
  • Late payments may attract interest at the prevailing commercial rate.
  • Ownership of goods remains with Westcomhub Enterprise Limited until full payment has been received.

5. Delivery

  • Delivery dates are estimates and are subject to product availability.
  • Delivery shall be deemed complete upon receipt and acknowledgment by the Buyer or the Buyer's authorized representative.
  • Risk of loss or damage passes to the Buyer upon delivery.

6. Inspection and Acceptance

The Buyer shall inspect all goods upon delivery. Any shortages, defects, or incorrect items must be reported in writing within forty-eight (48) hours of delivery. Failure to notify the Seller within this period shall constitute acceptance of the goods.

7. Warranty

  • Products are covered by the manufacturer's warranty where applicable.
  • Westcomhub Enterprise Limited will assist customers in processing warranty claims.
  • Warranty does not cover damage resulting from misuse, negligence, unauthorized repairs, accidents, power surges, or normal wear and tear.

8. Returns and Exchanges

  • Returns require prior written authorization from Westcomhub Enterprise Limited.
  • Goods must be returned in their original condition, complete with all packaging and accessories.
  • Customized, special-order, software licenses, and opened consumables are generally non-returnable unless defective.

9. Software and Licensing

Software supplied is governed by the respective software publisher's licensing terms. The Buyer is responsible for complying with all licensing requirements.

10. Installation and Support

Where installation or technical support is included, the Buyer shall provide suitable access, power, network connectivity, and any other necessary infrastructure required for successful implementation.

11. Force Majeure

Westcomhub Enterprise Limited shall not be liable for delays or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, government actions, strikes, pandemics, transportation disruptions, or shortages of materials.

12. Limitation of Liability

To the fullest extent permitted by law, Westcomhub Enterprise Limited shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, business interruption, or data loss. The Seller's total liability shall not exceed the purchase price of the affected goods or services.

13. Intellectual Property

All trademarks, logos, product names, documentation, software, and related intellectual property remain the property of their respective owners.

14. Confidentiality

Both parties agree to maintain the confidentiality of any non-public business information disclosed during the course of the transaction.

15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the Kenyan courts.

16. Entire Agreement

These Terms and Conditions, together with the Seller's quotation, invoice, purchase order, or written agreement, constitute the entire agreement between the parties unless otherwise agreed in writing.
